Terms of Service

1. Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and Optimum Real Estate Capital LLC ("FormPop AI," "we," "us," or "our") governing your use of the FormPop AI platform at formpop.ai. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

2. Account Terms

You must be at least 13 years of age to create an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate registration information and keep it updated. You may not use FormPop AI for any illegal purpose or in violation of any applicable laws or regulations. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to use FormPop AI to: collect sensitive personal information (such as social security numbers, full payment card numbers, or medical records) without appropriate safeguards; send spam or unsolicited communications; distribute malware or malicious content; violate the intellectual property rights of others; harass, threaten, or deceive respondents; or attempt to gain unauthorized access to our systems. We reserve the right to remove any content or suspend any account that violates these terms at our sole discretion.

4. Free and Paid Plans

FormPop AI offers a free tier with unlimited forms and unlimited responses. Paid plans (Pro at $19/month and Business at $39/month) provide additional features including AI generation credits, white-labeling, priority support, and higher usage limits. Plan features are described at formpop.ai/#pricing and are subject to change with reasonable notice.

5. Payment Terms

Paid subscriptions are billed monthly or annually in advance. Payments are processed by Stripe, Inc. By providing payment information, you authorize us to charge your payment method for the applicable subscription fees. Subscriptions automatically renew unless you cancel before the renewal date. You may cancel your subscription at any time from the billing settings page; your access to paid features will continue until the end of the current billing period, at which point your account will revert to the free tier. We do not offer refunds for unused portions of a subscription period except where required by law.

6. Intellectual Property

You retain ownership of all form content, questions, and response data you create and collect using FormPop AI. By using the service, you grant us a limited, non-exclusive license to store, process, and transmit your content solely as necessary to provide the service. We own all rights to the FormPop AI platform, software, design, trademarks, and documentation. You may not copy, modify, distribute, or create derivative works of the FormPop AI platform without our written permission.

7. Data Responsibility

You are the data controller for any personal information collected through your forms. As the data controller, you are responsible for obtaining appropriate consent from your respondents, providing them with required privacy notices, and complying with applicable data protection laws including GDPR. FormPop AI acts as a data processor on your behalf. By using the service to collect personal data, you represent that you have a lawful basis for doing so.

8. Limitation of Liability

To the maximum extent permitted by applicable law, FormPop AI and Optimum Real Estate Capital LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of the service. Our total liability for any claim arising out of these Terms or your use of the service shall not exceed the amount you paid us in the 12 months preceding the claim. Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.

9. Disclaimer of Warranties

FormPop AI is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components. We make no warranty regarding the accuracy or reliability of any AI-generated content.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or for any other reason with reasonable notice. Upon termination, your right to use the service ceases. We will provide you with a data export upon request within 30 days of account termination. You may delete your account at any time from the account settings page.

11. Governing Law and Disputes

These Terms are governed by the laws of the District of Columbia, United States, without regard to conflict of law provisions. Any disputes arising from these Terms or your use of FormPop AI shall be resolved by binding arbitration in Washington, D.C., except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property claims.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before they take effect. Your continued use of FormPop AI after changes take effect constitutes your acceptance of the updated Terms.
